The independent review before a major private company decision.
PH Capital Advisory works with founder-led companies, boards and major shareholders before capital, ownership, sale, governance and growth decisions are made.
Used when the timing matters, the decision is material, and the assumptions need to be tested before the company commits.
Led by Peter Howell, founder and operator turned independent advisor. Built, funded, sold and exited companies. Advisory work grounded in capital raising, investor management, shareholder pressure, governance decisions and transaction readiness.
The situations founders usually arrive with
PHCA is usually engaged when a founder, board or shareholder group is facing a live decision and wants an independent view before committing. The work starts with the decision in front of the company, not a generic advisory process.
The work
Used before the decision becomes hard to unwind, while the assumptions can still be tested.
The largest decisions a founder faces are rarely tested by anyone without a stake in the answer. Advisers act on the transaction. Investors want the round to close. Boards carry their own history. The assumptions underneath the decision go unexamined, and the decision is made on them regardless.
An independent review tests those assumptions before the decision is taken, not after it has played out.
Engagements are defined, direct and limited in number.
The output
What the review gives you
The output is a clear independent view of the decision, the commercial logic, the risks, the options and the next steps before the company commits.
Decision clarity
What decision is actually being made, and what needs to be resolved before it is made.
Commercial logic
Whether the plan, raise, transaction or expansion case holds together under pressure.
Risks and constraints
The issues likely to affect investors, buyers, directors, shareholders or execution.
Recommended next steps
A practical sequence for what should happen next, and what should not be rushed.
How PHCA is engaged
PHCA provides independent decision reviews and retained decision support for founder-led companies facing live, high consequence decisions. The work is structured around three core offers.
Capital advisory is one possible outcome of the work. The first step is usually the independent review: testing whether the company is ready, whether the logic holds, and what needs to be resolved before capital, ownership or transaction conversations move too far.
Strategic Decision Reviews
Defined fixed-scope independent reviews before major capital, ownership, sale, governance and growth decisions.
Typical situations include capital raises, sale readiness, buyer approaches, acquisitions, market entry, shareholder restructure, CEO appointment, governance reset and major strategic commitments.
Fixed-scope reviews from $15,000 + GST
Independent Decision Seat
A retained independent decision role for founder-led companies facing a sequence of material decisions over six to twelve months.
PHCA is retained to test decisions, assumptions, risks and sequencing before the company commits. This is not a fractional executive role and not open ended execution support.
$6,500 + GST to $8,500 + GST per month. Minimum term: six months.
Bespoke Strategic Review
A deeper board or shareholder level review for complex situations involving multiple stakeholders, material capital decisions, transaction issues, governance tension or strategic uncertainty.
Board, shareholder and bespoke reviews from $35,000 + GST
Every other voice in the room has a position. The independent review does not. That is the point of it.
Independence
Advisory fees are not contingent on outcomes.
PHCA provides independent strategic and decision review work. Advisory fees are not contingent on capital raised, investors introduced, transactions completed or sale outcomes achieved.
The work is designed to improve decision quality, readiness, credibility and execution discipline before a company commits to a major path.
PHCA is not a broker, placement agent, legal adviser, tax adviser, accounting adviser or transaction intermediary. Where specialist advice is required, PHCA works alongside the company's existing advisers.
Independence is central to the value of the work.

Before the decision becomes hard to unwind.
If your company is approaching a capital raise, sale process, ownership decision, governance reset or major expansion, PH Capital Advisory can provide an independent review before the company commits.
PHCA works with a limited number of companies at any one time. Enquiries are most useful where there is a defined decision and a clear timing issue.
