Strategic Decision Reviews

Independent review before major capital, ownership, sale, governance and growth decisions.

The review is built around a live decision.

Strategic Decision Reviews are used when a company is approaching a major decision and wants an independent view before committing.

Each review tests the decision, options, assumptions, risks, missing information, governance implications and execution requirements.

The output is a written decision memo for the founder, board or shareholders.

The review is not open ended advisory. It is a defined engagement built around a live decision.

Deliverable

What you receive

A Strategic Decision Review produces a written decision memo for the founder, board or shareholders.

The memo sets out the decision being tested, the options available, the assumptions being relied on, the risks and gaps identified, the evidence reviewed, and the recommended next steps before the company commits.

Review types

Capital Readiness Review

For companies preparing to raise capital before investor engagement begins.

The review tests whether capital is the right answer, whether the company is ready to raise, whether the use of funds is credible, whether the investor narrative matches the numbers, and what needs to be fixed before market.

Sale and Ownership Readiness Review

For founders, boards and shareholders considering sale, partial exit, succession, buyer approach, merger, management transition or ownership restructure.

The review tests whether the business is ready, what a buyer is likely to challenge, where founder dependency creates risk, and whether sale is the right path now or after further preparation.

Board Decision Review

For boards before approving a major acquisition, capital raise, market entry, CEO appointment, governance reset, strategic pivot or material investment.

The review tests the decision, management assumptions, alternatives, risks, dependencies and next steps before approval.

Pricing

Fixed scope. Fixed fee.

Each engagement is scoped around the decision to be made, the timing pressure, the stakeholders involved, the assumptions being relied on, the evidence required, the risk if the decision is wrong, and the output required before commitment.

Scope and fee are confirmed before any work begins.

How mandates work

Defined, time bound, structured around a decision.

PHCA engagements are defined, time bound and structured around a decision.

The work usually includes direct principal involvement, focused working sessions, review of relevant materials, commercial pressure testing, stakeholder alignment where required, and a written decision memo.

The objective is not more activity. The objective is a clearer decision, better sequencing and reduced avoidable risk before the company proceeds.

PHCA does not work as an hourly consultant, broker, placement agent, fundraising intermediary or open ended operating resource.

Discuss a decision

PHCA works with a limited number of companies at any one time. Enquiries are most useful where there is a defined decision, a clear timing issue and a need for independent judgement before the company proceeds.
